Richard D. Heins

Rich has been a director of the firm since 1997 and has been with the firm since 1991.  In 1989 – 1990 Rich clerked on the Delaware Court of Chancery for The Honorable William T. Allen, Chancellor.  Since coming to the firm, Rich has focused his practice on corporation and commercial litigation in the Delaware Court of Chancery.  Rich represents corporations, substantial stockholders, officers, directors, partnerships and other entities in litigation involving corporate governance, contests for control and other tort, fiduciary and contract actions.  Rich also counsels clients in connection with potential transactions and other issues of Delaware law, including providing legal opinions.

Representative Matters

Rich has served as lead counsel or Delaware counsel in a variety of actions in the Delaware Court of Chancery.  For example, Rich was a member of the team successfully defending Michael Eisner in In re Walt Disney Co. Derivative Litigation; 907 A.2d 693 (Del. Ch. 2005), affirmed 906 A.2d 27 (Del. 2006).  Rich also represented Walter Hewlett in Walter Hewlett v. Hewlett-Packard Co., 2002 WL 818091 (Del. Ch.) and the management directors in In re Siliconix Inc. Shareholders Litigation, 2001 WL 716787 (Del. Ch.).  In addition, Rich represented ATR-Kim Eng in ATR-Kim Eng Financial Corporation et al. v. Araneta et al., 2006 WL 3783520 (Del. Ch.) and David Portnoy in Portnoy v. Cryo-Cell International, Inc., et al., 2008 WL 131348 (Del. Ch.).
